Presentation of the site
Pursuant to Article 6 of Law No. 2004-575 of June 21, 2004 on confidence in the digital economy, users of the https://statiq.club/ site are informed of the identity of the various parties involved in its creation and monitoring:

This Agreement, hereby referred to as the "Terms of Services Agreement," establishes a legally binding contract between Statiq, a limited liability company operating under the laws of France, and the client, whether an individual or representing an entity ("Client"), concerning the access and utilization of Statiq’s services and website: https://statiq.club/ (the “Website”), along with any associated media forms, channels, mobile websites, or mobile applications linked to or connected with it.
If the Client does not consent to and comply with these terms, they are explicitly prohibited from accessing the Website and must cease use immediately. Consequently, the relationship between the Client and Statiq will terminate and hold no further binding effect between the parties, except for any outstanding payment obligations owed by the Client to Statiq for services rendered, which shall persist as ongoing obligations.
1. Intellectual Property Rights
Unless explicitly stated otherwise, the Website is the exclusive property of Statiq. All components including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively or individually referred to as the “Content”), as well as the trademarks, service marks, and logos displayed therein (the “Marks”), are under the ownership and control of Statiq. They are safeguarded by copyright and trademark laws, as well as any other pertinent intellectual property legislation or regulation of France, foreign jurisdictions, and international agreements.
The Content and Marks are made available "As-Is" for your personal information and usage exclusively. Unless expressly permitted herein, no portion of the Website or its Content may be copied, replicated, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise utilized for any commercial purpose without the express prior written consent of Statiq. Statiq retains all rights pertaining to the Website, Content, and Marks.
2. Services plans
Overview
- Statiq provides prepaid creative services focused on ideation, strategy, and design.
Services are delivered through prepaid concept allocations with defined validity periods.
Services include:
- Creative concept ideation
- Design strategic direction
- Design execution
Executional deliverables such as static ads, end cards, email designs, landing page and other static assets may be included, each of them will be counted as a specific number of concepts depending on asset type.
All copy (including text, messaging, and written content) is provided and owned by the Client. Statiq does not provide copywriting services unless otherwise agreed in writing.
Concept System
- 1 concept = 1 distinct ad creative concept with potential variants (design, copy, language...)
- 1 email with potential variants = 2 concepts
- 1 landing page with potential variants = 3 concepts
Usage & Validity
- Concepts must be used within the validity period of the purchased plan
- Unused concepts expire at the end of the validity period unless otherwise agreed
- Concepts are consumed upon delivery of the first version (V1)
Turnaround Times
Turnaround times begin once the brief is complete and approved.
- Up to 10 concepts: V1 delivered within 3 business days
- Up to 15 concepts: V1 delivered within 4 business days
- Up to 20 concepts: V1 delivered within 5 business days
- Larger batches are subject to longer turnaround times.
Revisions
- Each delivery includes up to 2 revision rounds
- Each revision round will be delivered within 2 business days
- Additional revision rounds requested by the Client may be treated as new concept work
Variants
- Variants can be requested within a defined scope per concept:
- Up to 3 design variants per concept
- Up to 5 copy variants (copy switches or translation) - If requested variants exceed the agreed scope, additional time may be added to delivery timelines and/or may be counted as additional concept work
Capacity & Scheduling
- Work is scheduled based on available production capacity
- Statiq reserves the right to limit the number of concepts processed concurrently
- Concept deliveries are queued based on the schedule desired by the Client
AI Usage
Statiq may use AI-assisted tools in the production process unless otherwise agreed.
Services Limitations
- Statiq provides services based on defined scope and concept allocations
- Requests that significantly deviate from the original brief or require new strategic directions may be treated as additional concepts
- Delivery timelines are dependent on timely completed briefs, client feedback and approvals
3. Ownership of Materials
All design and original source files generated on behalf of the Client ("Projects") are the property of the Client. The Client shall hold the sole copyright ownership of all Projects. Should any legal action result in Statiq gaining ownership, wholly or partially, of a Project instead of the Client, Statiq hereby assigns its complete interest in the Project to the Client irrevocably and perpetually, without restriction.
The Client affirms that any materials furnished to Statiq as samples or to be integrated into a project during the design process are owned by the Client and do not infringe upon or unlawfully appropriate any third party's rights, including but not limited to intellectual property rights and rights of publicity.
Concepts, including strategic directions and design outputs, are transferred to the Client upon delivery, subject to full payment of services.
4. Third-Party Fonts
Projects may include fonts that are not owned by Statiq (“Third-Party Fonts”) and may require a commercial license for proper use.The Client is responsible for:If Statiq uses or recommends a Third-Party Font, Statiq will inform the Client and provide sufficient information to identify the font and its licensing requirements.The Client acknowledges that:
- They are the sole owner and license holder of any fonts they provide or request to be used
- They are responsible for ensuring proper licensing for any commercial use, reproduction, distribution, or public display of the Project
Statiq shall not be liable for any issues arising from the use of unlicensed fonts, provided that the Client has been informed of the use of such fonts.
- Providing any required fonts, or
- Purchasing and maintaining the appropriate licenses for any Third-Party Fonts used in the Project
5. Client Representations
By accessing or using the Website and/or Statiq’s services, the Client represents and warrants that:
- They have the legal capacity and authority to enter into and comply with these Terms of Services, whether on their own behalf or on behalf of an entity
- They are of legal age in their jurisdiction of residence
- All information provided to Statiq (including briefs, assets, and materials) is accurate, complete, and lawfully owned or licensed by the Client
- They will use the Website and services only for lawful purposes and in accordance with these Terms
- They will not use automated systems (including bots, scripts, or scraping tools) to access or interact with the Website or services without prior written consent
- Their use of the Website and services will not infringe upon any third-party rights, including intellectual property rights
- They are responsible for ensuring that all materials submitted (including copy, assets, and fonts) comply with applicable laws and regulations
6. Prohibited Activities
The Client agrees to use the Website and services solely for their intended purpose and in accordance with these Terms.
The Client shall not, directly or indirectly:
- Use the Website or services for any unlawful, fraudulent, or unauthorized purpose
- Use the Website or services in a way that competes with, replicates, or exploits Statiq’s business model
- Copy, reproduce, distribute, or commercially exploit any part of the Website, services, or Content without prior written consent
- Attempt to bypass, disable, or interfere with any security features or access controls
- Access the Website or services through automated means (including bots, scraping tools, or scripts) without authorization
- Reverse engineer, decompile, or attempt to extract source code from any part of the Website or services
- Upload or transmit any viruses, malware, or harmful code
- Disrupt, overload, or interfere with Statiq’s systems, servers, or infrastructure
- Misrepresent identity, provide misleading information, or impersonate another person or entity
- Submit incomplete, misleading, or unlawful briefs or materials
- Harass, threaten, or harm Statiq’s team, contractors, or representatives
- Remove or alter any copyright, trademark, or proprietary notices
- Use any output, concepts, or materials provided by Statiq in violation of applicable laws or third-party rights
7. Client Feedback
Each delivery includes a limited number of revision rounds as defined in the applicable service terms.
- A maximum of 2 revision rounds is included per delivery
- Additional revision rounds may be treated as new concepts work
Revision Process
- All revision requests must be submitted directly on the design files or tools provided by Statiq (e.g. Figma or equivalent)
- Statiq is not responsible for delays caused by incomplete, fragmented, or unclear feedback
Scope of Revisions
- Revisions must remain within the scope of the original brief
- Requests involving new directions, significant changes, or additional concepts may be counted as new concept work
Timelines
- Each revision round is delivered within 2 business days from the time complete feedback is received
8. Management and Oversight
Statiq reserves the right to monitor the use of the Website and services to ensure compliance with these Terms.
Statiq may, at its sole discretion:
- Suspend, restrict, or terminate access to the Website or services in the event of a breach of these Terms
- Refuse service or ongoing collaboration if misuse, abusive behavior, or violation of agreed scope is identified
- Take appropriate legal action in response to violations of applicable laws or these Terms
Such actions may be taken without prior notice where reasonably necessary to protect Statiq’s operations, rights, or property.
9. Privacy Policy
By using the Website and services, the Client agrees to be bound by Statiq’s Privacy Policy, which is incorporated into these Terms by reference.
The Client acknowledges that:
- The Website is operated from France
- Personal data may be collected, processed, and stored in accordance with applicable data protection laws, including French and European regulations
- By using the Website and services, the Client consents to the processing of their data in accordance with the Privacy Policy
Statiq does not knowingly collect personal data from individuals under the age of 18. If such data is identified, Statiq will take appropriate steps to delete it in accordance with applicable regulations.
10. Refunds
Due to the prepaid and capacity-based nature of the services, unused concepts are non-refundable unless otherwise agreed in writing.
Should a refund be granted, Statiq reserves the right to withhold or charge any associated payment processing fees or transaction costs, which will remain the responsibility of the Client.
11. Modification
Statiq may update or modify the Website, services, or these Terms from time to time to reflect changes in operations, legal requirements, or service improvements.
Where changes materially impact the Client’s use of the services, Statiq will make reasonable efforts to notify the Client in advance.
Continued use of the Website or services after such updates constitutes acceptance of the revised Terms.
Statiq reserves the right to suspend or discontinue any part of the Website or services if reasonably necessary, including for maintenance, security, or operational reasons.
12. Service Availability
Statiq aims to provide reliable and continuous access to its Website and services. However, availability may be temporarily affected by maintenance, updates, or factors beyond Statiq’s control.
Statiq does not guarantee uninterrupted or error-free access at all times, but will make reasonable efforts to minimize disruptions and restore service as quickly as possible.
13. Governing Law
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.
14. Jurisdiction
Any disputes, claims, or legal proceedings arising out of or relating to these Terms of Services shall be exclusively resolved in the competent courts of France. By agreeing to these Terms, the Client irrevocably submits to the jurisdiction of these courts and waives any objections regarding lack of personal jurisdiction, improper venue, or forum non conveniens.
However, if the Client is located outside of France, Statiq reserves the right to initiate legal action in the jurisdiction where the Client is located, if deemed necessary for enforcement purposes.
The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and the Uniform Computer Information Transactions Act (UCITA) is expressly excluded.
15. Disclaimer
The Website and services are provided on an “as available” basis.
Statiq makes reasonable efforts to ensure the quality, accuracy, and reliability of its services. However, the Client acknowledges that:
- creative services involve subjective interpretation and may vary based on inputs and context
- Statiq does not guarantee specific performance outcomes (including but not limited to marketing performance, conversion rates, or business results)
To the fullest extent permitted by applicable law, Statiq disclaims any warranties, express or implied, including but not limited to fitness for a particular purpose and non-infringement.
Statiq shall not be responsible for:
- errors or issues resulting from incomplete or inaccurate Client-provided materials (including briefs, copy, assets, or fonts)
- third-party tools, platforms, or services used in connection with the Website or deliverables
- any misuse or unauthorized use of the deliverables by the Client or third parties
16. Limitations of Liability and Indemnification
16.1 Client Indemnification
The Client agrees to indemnify, defend, and hold harmless Statiq and its directors, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- the Client’s use of the Website or services
- any materials provided by the Client (including but not limited to copy, assets, or fonts)
- any breach of these Terms
- any violation of applicable laws or third-party rights
16.2 Statiq Indemnification
Statiq shall indemnify and hold harmless the Client from third-party claims alleging that deliverables created by Statiq infringe upon third-party intellectual property rights, provided that:
- the deliverables are used in accordance with these Terms and the agreed scope
- the Client has not modified the deliverables in a way that causes the infringement
- the Client provides prompt written notice of the claim
- Statiq retains control over the defense and settlement of the claim
- the Client provides reasonable cooperation as needed
This indemnification does not apply to:
- materials provided by the Client (including copy, assets, or fonts)
- modifications made by the Client or third parties
- use of deliverables outside the intended scope
16.3 Limitation of Liability
To the fullest extent permitted by applicable law, Statiq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to the use of the Website or services.
Statiq’s total aggregate liability arising out of or in connection with these Terms or the services shall not exceed:
- the total amount paid by the Client for the applicable Card associated with the claim, or
- if no active Card applies, the total amount paid by the Client to Statiq in the three (3) months preceding the event giving rise to the claim
This limitation applies regardless of the legal theory of liability and even if Statiq has been advised of the possibility of such damages.
Nothing in these Terms shall limit or exclude liability where such limitation is not permitted under applicable law.
17. Client Data
The Client is responsible for all materials, data, and content provided to Statiq in connection with the services, including briefs, copy, assets, and any other inputs.
The Client is responsible for maintaining their own copies and backups of such materials. While Statiq takes reasonable care in handling Client data, Statiq does not guarantee against loss, corruption, or unintended alteration of data.
To the fullest extent permitted by applicable law, Statiq shall not be liable for any loss or corruption of Client-provided data, except in cases of gross negligence or willful misconduct.
18. Electronic communications, transactions, and signatures
By using the Website and services, the Client agrees to receive communications from Statiq electronically, including via email, shared workspaces (such as Slack or design tools), or through the Website.
The Client agrees that all agreements, notices, approvals, and other communications provided electronically satisfy any legal requirement for written communication.
The Client further agrees to the use of electronic signatures, contracts, and records, and acknowledges that such electronic interactions are binding and enforceable.
19. Showcasing Design Work
Statiq reserves the right to showcase design work on digital platforms, including social media (both paid and organic channels) and their website, unless otherwise agreed upon.
No confidential or sensitive information (e.g. data, performances...) will be disclosed without prior consent.
The Client may request in writing that specific work remains confidential, and Statiq will make reasonable efforts to accommodate such requests.
20. Miscellaneous
These Terms of Services, together with any policies referenced herein, constitute the entire agreement between the Client and Statiq regarding the use of the Website and services, and supersede any prior agreements or understandings.
Failure by Statiq to enforce any provision of these Terms shall not be deemed a waiver of such provision or of any future enforcement.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, or agency relationship between the Client and Statiq.
